Terms of Service

These Terms of Service govern access to and use of Suppal, including the website, Shopify app, vendor portal, forms, and API.

Acceptance of terms

By accessing or using Suppal, including the website, Shopify app, vendor portal, forms, and API, you agree to these Terms of Service. If you use Suppal on behalf of a business, you represent that you have authority to bind that business to these terms.

The service

Suppal provides tools for Shopify merchants to collect, review, manage, and sync vendor and supplier product data. Features may include product submission forms, vendor portals, approval workflows, integrations with Shopify, and API access on eligible plans.

We may modify, improve, suspend, or discontinue parts of the service from time to time. We may also add plan limits, feature restrictions, or usage policies as the product evolves.

Accounts and merchant responsibilities

Merchants are responsible for maintaining the security of their Shopify store, connected accounts, vendor links, API keys, and internal workflows. Merchants are also responsible for configuring which data vendors may submit and for reviewing submissions before approving them.

You are responsible for ensuring that your use of Suppal, and the data you collect through it, complies with applicable laws, contracts, and platform requirements.

Vendor access and submitted content

Vendors and suppliers may access Suppal through links, portals, or API credentials issued or enabled by the merchant. Merchants are responsible for managing vendor relationships and determining who may submit or update content.

You retain responsibility for all product data, images, descriptions, metadata, and other materials submitted through the service. You represent that you have the necessary rights to use, upload, store, review, and sync that content.

Acceptable use

You may not use Suppal to violate the law, infringe intellectual property rights, transmit malicious code, interfere with the service, attempt unauthorized access, or submit deceptive, fraudulent, or harmful content.

We may suspend or restrict access if we reasonably believe your use poses a security risk, violates these terms, or may harm Suppal, Shopify, other merchants, vendors, or third parties.

Fees and billing

Paid features may require a subscription or approved billing arrangement. If billed through Shopify, billing terms may also be governed by Shopify's platform rules and billing systems.

Unless otherwise stated, fees are non-refundable except where required by law. Downgrades, cancellations, and plan changes may affect feature access at the end of the applicable billing period or as otherwise described in the product.

Third-party services

Suppal integrates with third-party platforms and infrastructure, including Shopify. Your use of those third-party services is governed by their own terms and policies, and we are not responsible for third-party products or services.

Intellectual property

Suppal and its related software, branding, design, content, and documentation are owned by or licensed to us and are protected by applicable intellectual property laws. These terms do not grant you ownership of the service or our intellectual property.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business purposes.

Disclaimers

Suppal is provided on an as-is and as-available basis to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, secure, or suitable for every use case.

You are responsible for reviewing vendor submissions, verifying product content, and determining what should be published to your Shopify store.

Limitation of liability

To the maximum extent permitted by law, Suppal and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity.

To the maximum extent permitted by law, our total liability for claims arising out of or relating to the service will not exceed the amounts paid by you to Suppal for the service during the twelve months preceding the event giving rise to the claim.

Termination

You may stop using Suppal at any time, including by uninstalling the app from Shopify where applicable. We may suspend or terminate access if you violate these terms, if required by law, or if continued access creates risk for the service or others.

Sections that by their nature should survive termination will continue to apply, including provisions relating to fees owed, intellectual property, disclaimers, limitations of liability, and dispute-related terms.

Changes to these terms

We may update these Terms of Service from time to time. If we make material changes, we may provide notice through the site, app, or other reasonable means. Continued use of the service after updated terms become effective means you accept the revised terms.
